The 10k vs. the Annual Report

...The 10K vs. the Annual Report eBay Inc. is one of the largest e-commerce businesses listed in the Fortune 500. Like other companies, eBay Inc. prepares an Annual Report and a 10K every year in which it discloses each activity and financial performance. eBay Inc.’s Annual Report and 10K are designed for different audiences. The Annual Report provides information about the company’s activities and financial performance for shareholders and investors. The 10K is an official document that publicly traded companies must file with the U.S. Securities and Exchange Commission (SEC). The Annual Report provides specific growth of each activity such as eBay marketplace, PayPal, and Skype to increase the confidence of its shareholders and investors. The 10K provides detailed background and financial information targeted towards business professionals and the SEC. eBay Inc.’s 2009 Annual Report was a letter with a lot of details and numbers to demonstrate the performance. The CEO, John Donahoe, listed specific activities’ revenues and growths such as “In November 2009, we sold approximately 70 percent of Skype allowing us to focus on our two core growth engines: payments and e-commerce.” Also, Mr. Donahoe compared the growth of each activity to previous years. For example, in the first half of the year, on eBay marketplace, “we delivered $8.7 billion in revenues, a 2 percent increase from the prior year.” Mr. Donahoe used sincere language to build a strong relationship with eBay......

How to Read 10k Report

...Assignment 1 Instructions: Please select a company that your group would like to analyze throughout the semester. The goals of the assignment are (1) to help you read through the 10K/Q reports issued by US corporations in accordance with SEC regulations and (2) to help familiarize yourselves with the company you plan to study this semester. 10K/Q reports can be found on a company’s website, or on EDGAR, located at www.sec.gov. However, EDGAR can also be accessed through Mergentonline available through Hofstra’s electronic library. You might have to use other sources in the Hofstra Electronic Library to complete a few of these items. You can also go to the company’s website for information. Answer the following questions about your group’s company. Your answers should be written in a REPORT FORMAT, and should be typed. This means that you should use the questions as a guideline for your report, do not just answer them in sequence. Please do not cut and paste from the 10-K/Q report or any other source, and use footnotes when appropriate. Students who do this will not receive credit for the assignment. I would like each person in the group to submit an individual report because I would like everyone to read through an entire 10-K or 10-Q report. 1. Company Name________NIKE__________________ 2. ...Overview of the SEC Primitive economies are basically barter economies (goods and services traded for other goods and services), while in other mature economies, businesses are organized into proprietorships, partnerships, and joint venture. These types of closely held businesses, in which owners manage their own business, do not need external reporting of the results of operations. However, external reports have become essential with the increase in the size and number of business enterprises, along with the increased amount of people investing capital resources in these businesses. The corporate form of business also increases the need for objective verification of data and creates a need for disclosure of more and better information to owners and potential investors. Furthermore, the increase in value, size and activity of capital exchange in security market also increases the opening of taking advantage in lax conditions and to profit by misrepresentation and manipulation. Hence, the main reason for establishing the securities legislation was because large security market requires operating procedures that would protect investors from fraud and guarantee an adequate supply of capital for economic growth. Background of the SEC The Securities and Exchange Commission (“SEC”) is one of several public and private sector rule-making organizations that have an effect on financial reporting for businesses. It plays a crucial role in the development...

Sec 10k Paper

...Chikaodi Okoro Principals of Accounting- ACCT 221 SEC 10K Paper July 29, 2015 NUCOR CORPORATION The Company In 1905, Ransom E. Olds, creator of the Oldsmobile, had a dispute with stockholders and left his own company, Olds Motor Works. He soon formed REO Motor Company, which evolved into the Nuclear Corporation of America and ultimately. While successful at first, REO ultimately relied on defense contracts to stay in business. And when the Korean War ended in 1955, so too did REO. Its assets were merged with Nuclear Consultants, Inc. to form Nuclear Corporation of America. Mission “Being the safest, highest quality, lowest cost, most productive and most profitable steel and steel products company in the world. Being cultural and environmental stewards in our communities where we live and work. We are succeeding by working together”. Nucor is a Fortune 500 company with approximately 200 operating facilities, including our wholly owned subsidiaries of Harris Steel, The David J. Joseph Company, and Skyline Steel, yet we have approximately 100 people working at our corporate headquarters and surprisingly few layers of management from the CEO to the frontline. Philosophy Ironically, we’ve gotten big by small thinking. While most of America’s steel manufacturing clung to old blast furnace production methods requiring huge integrated steel mills, Nucor pioneered new roads with electric arc furnaces and mini-mills. We also did something else few manufacturers...

10k & Annual Report Comparison

...On an annual basis, companies such as Procter & Gamble are required to file two well-known types of reports: the 10K filing and the Annual Report. The purpose behind both of these documents is to monitor a company’s performance for the past year. Stakeholders in the respective companies can acquire this publicly provided data and analyze the information for different purposes. While 10K filings and annual reports contain similar data, their perspectives differ. For example, consider that the 10K is a financial fill-in-the-blank form whereas an annual report is a marketing document. The goal of the annual report is to persuade and inform current and potential stockholders. It is sent out to shareholders when companies hold their annual meetings to elect directors. Ultimately, this report serves as a benefit to a company because it has free reign over its content and design. On the contrary, the U.S. Securities and Exchange Commission requires 10k filings to inform about the company, monitor finances and prevent fraud. Both documents are effective considering their particular audiences; 10K’s are for a financial audience and annual reports are for the general public stockholders. Inherent differences such as layout, design details, tone, and content are apparent in Procter & Gamble’s 10K SEC filing and their annual report. Procter & Gamble’s annual report effectively uses verbal and visual strategies to catch the reader’s attention. Its colorful front page......
